infringes intellectual property or privacy rights.
4.3 Harassment and poaching. Do not harass, stalk, threaten, coerce, or intimidate other Users. Systematic or
malicious recruitment (poaching) that uses threats, harassment, bribery, or deception to induce Users to leave
other groups is prohibited.
4.4 Commercial activity and spam. Commercial promotions, recruitment, or solicitation within Rooms are
prohibited unless expressly authorized by the Company or conducted under an approved commercial program.
Unsolicited bulk messaging, link‑farming, or automated scraping is forbidden.
4.5 Cooperation with investigations. Users must cooperate with Company investigations and not tamper with

disclose any recording, commercial arrangement, or sponsorship as required. Hosts are responsible for initial
moderation of Room content.
5.2 Room rules. Hosts may set Room rules but must not contravene this Agreement or applicable law. The Company
retains the right to override or remove Room rules that violate policy.
5.3 Speaker management. The Company or Hosts control who may speak or broadcast. Hosts must not permit illegal
activity in Rooms.
6.1 User content ownership. You retain ownership of content you create. By posting content to the Service you
grant the Company a worldwide, non‑exclusive, royalty‑free, sublicensable license to reproduce, distribute,
modify, adapt, publicly display, and otherwise use the content to provide and promote the Service.
6.2 Copyright claims. If you believe your intellectual property rights are infringed, provide notice per our

repeat infringers.
6.3 No unauthorized distribution. Do not stream or upload copyrighted audio or video without proper
authorization.
7.1 Recording notice. If a Room is recorded, a conspicuous notice will be displayed at entry. By entering a
recorded Room you acknowledge notice of recording. For jurisdictions requiring explicit consent, the Company
will obtain such consent before recording.
7.2 Playback access. Playback access, distribution, and retention are subject to the Room settings and the
Company’s policies. Protected or paid content must be stored and accessed in accordance with access controls.
7.3 Privacy. Our collection and use of personal data are described in the Company’s Privacy Policy, which is
incorporated herein.

Abuse of virtual item systems (fraud, manipulation, chargeback abuse) may result in penalties, including account

Company may restrict or disable certain features for minors (e.g., messaging, payments, public broadcasting).
9.2 Parental rights. Parents or legal guardians may have the right to review, correct, or delete their
children’s account information and should contact privacy@{domain}.com to exercise those rights.
10.1 Moderation. The Company uses automated tools and human review to enforce policy. The Company may remove
content, restrict features, suspend or terminate accounts, or take other remedial actions when violations occur.
10.2 Sanctions. Sanctions range from warnings to temporary restrictions, permanent bans, or legal referral
depending on severity, intent, and recidivism.
10.3 Appeals. Users may appeal enforcement actions through the Company’s designated appeal process. The Company
will review appeals and respond within a reasonable timeframe.
11.1 Third‑party providers. The Service may integrate third‑party services (payment processors, CDN/hosting,
RTC/SFU vendors, analytics, ASR/moderation) governed by separate terms and privacy practices. The Company is not
responsible for third‑party practices beyond its contractual obligations.
11.2 External links. Links to third‑party sites are provided for convenience; the Company does not endorse or
control linked content.
12.1 No warranty. The Service is provided “as is” and “as available” without warranties of any kind. The Company
does not guarantee uninterrupted or error‑free operation.
12.2 Limitation of liability. To the maximum extent permitted by law, the Company and its affiliates are not
liable for indirect, incidental, special, consequential or punitive damages arising from your use of the
Service. The Company’s aggregate liability for direct damages will be limited to the greater of (a) the amount
paid by you to the Company in the prior 12 months, or (b) USD 100. This limitation does not apply to intentional
wrongdoing or where prohibited by law.
You agree to indemnify, defend and hold the Company and its officers, directors, employees and agents harmless from any claims, losses, damages, liabilities, costs and expenses (including reasonable attorneys’ fees) arising from or related to your violation of this Agreement, your User Content, or your violation of any law or third‑party rights.
The Company may suspend or terminate your access to the Service at any time for conduct that violates this Agreement or otherwise harms the Service or other users. Upon termination, licenses granted to the Company will survive as necessary to maintain records, comply with law, and enforce rights.
This Agreement is governed by the laws of [Jurisdiction]. Disputes should be resolved first through good faith negotiation. If unresolved, disputes will be subject to binding arbitration in [arbitration seat] (or the courts of [jurisdiction], if arbitration is not permitted), except where local law requires otherwise.
We may revise this Agreement from time to time. For material changes, we will provide notice (e.g., in‑app notice or email) and obtain consent if required by law. Continued use after notice constitutes acceptance of changes.
17.1 Entire agreement. This Agreement, together with referenced policies (Privacy Policy, Community Guidelines,
Payment Terms), constitutes the entire agreement between you and the Company regarding the Service.
17.2 Severability. If any provision is invalid or unenforceable, the remaining provisions remain in effect.
17.3 Assignment. The Company may assign or transfer this Agreement in connection with a merger, sale, or
reorganization. You may not assign your rights without prior written consent.
